Our approach
Philosophy
Our investment philosophy
We invest in businesses we can understand and help run.
Our interest is in established companies with real earnings, trusted relationships and a clear reason for existing. We would rather work with a business whose economics we can explain than one whose value rests on a forecast.
Capital is patient here. We acquire with no fixed requirement to sell, which gives us room to invest in people, systems and growth at a pace the business can absorb. We price carefully, use debt proportionately and keep close attention on cash.
Improvement is expected to come from the business itself: better commercial decisions, tighter daily operations and technology applied where it removes repetitive work. Where several businesses share customers, suppliers or expertise, we look for the benefit of bringing them together.

The acquisition process
Five stages, from first conversation to completion.
- 1Initial conversationWe learn what the business does, how it earns and what the owner wants next. If there is no sensible basis to continue, we say so early.
- 2Confidentiality and informationWe agree confidentiality and review headline financial and operating information to understand the shape of the business.
- 3Indicative valuation and structureWe test the economics, set out an indicative valuation and propose a structure suited to the situation and the owner's objectives.
- 4Due diligence and fundingWe complete commercial, financial and legal diligence, confirm funding and agree final documentation.
- 5Completion and transitionWe complete the acquisition and agree how the handover and early period will work, including any continued involvement.
Governance and reporting
Clear responsibilities, proportionate oversight.
We believe in clear responsibilities, regular and accurate financial reporting, and oversight proportionate to the size and risk of each business. Formal governance arrangements develop as the group grows.
